These Terms of Use (“Terms”) govern your access to and use of websites, apps, and online services operated by Nightingale Productions Limited (“Nightingale”, “we”, “us”) and branded as Nightingale TV (the “Services”).
By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
Eligibility
The Services are intended for users who are at least 18 years old, or who have reached the age of majority in their jurisdiction, and who can form a binding contract. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
Accounts
If we offer registration, you must provide accurate information and keep your credentials confidential. You are responsible for activity under your account. Notify us promptly at contact@nightingaletv.uk if you suspect unauthorised access.
Intellectual property
The Services, including design, text, graphics, logos, trailers, stills, software, and other content, are owned by Nightingale or our licensors and are protected by copyright, trademark, and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive licence to access and use the Services for personal, non-commercial purposes. You may not copy, scrape, redistribute, publicly perform, or create derivative works from our content except as allowed by law or with our prior written consent.
User conduct
You agree not to:
- Use the Services unlawfully or in a way that infringes others’ rights;
- Harass, abuse, or harm people or groups;
- Attempt to gain unauthorised access to our systems, accounts, or data;
- Introduce malware, overload infrastructure, or interfere with security;
- Use automated means to access the Services at scale without permission;
- Misrepresent your identity or affiliation with Nightingale.
Third-party links and embeds
The Services may link to or embed third-party sites (e.g. video platforms or social networks). We do not control those services; their terms and privacy practices apply to your use of them.
Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NIGHTINGALE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED POUNDS STERLING (GBP £100), IF NO FEES APPLIED.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
Indemnity
You will defend and indemnify Nightingale against claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services or violation of these Terms, to the extent permitted by law.
Suspension and termination
We may suspend or terminate access to the Services at any time, with or without notice, if we believe you have breached these Terms or if necessary for legal, security, or operational reasons.
Changes
We may modify these Terms from time to time. We will post the updated Terms on the Services and update the “Last updated” date. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Services.
Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales shall have exclusive jurisdiction, subject to mandatory consumer protections where you reside.
